Terms of Service

These Terms of Service ("Terms") govern your access to and use of Paridesk (the "Service"), operated by Paridesk ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. About the Service

Paridesk is an interface that allows users to interact with the Polymarket protocol, a decentralised prediction market built on the Polygon blockchain. Paridesk does not operate the underlying prediction markets, custody user funds, or execute trades directly. All trades are executed via smart contracts on Polygon, and all funds are held in user-controlled wallets.

2. Eligibility

You may use the Service only if:

• You are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher);
• You are not a resident or citizen of, or physically located in, any restricted jurisdiction (see Section 3);
• You have the legal capacity to enter into binding contracts;
• You are not on any government sanctions list (including OFAC SDN, EU, UK, or UN sanctions lists);
• You comply with all applicable laws in your jurisdiction.

3. Geographic Restrictions

The Service is not available in certain countries and regions due to regulatory requirements, international sanctions, and the requirements of the underlying Polymarket protocol. Restricted jurisdictions include but are not limited to: the United States, the United Kingdom, France, Germany, Italy, Australia, Japan, Belgium, and all OFAC-sanctioned countries.

You must not use a VPN, proxy, or any other technical means to circumvent these restrictions. Doing so is a material breach of these Terms and may result in immediate termination of access and forfeiture of any funds in your wallet associated with the Service.

4. Wallets and Funds

The Service requires a self-custodial wallet. You are solely responsible for:

• Maintaining the security of your private keys, seed phrases, and authentication credentials;
• Verifying all transactions before signing them;
• Any loss of funds due to compromised credentials, lost keys, user error, or signing fraudulent transactions.

We never hold, custody, or have access to your funds. Funds move on the Polygon blockchain via smart contracts. Blockchain transactions are irreversible.

5. Trading Risks

Trading prediction markets involves substantial risk. You may lose all funds you commit to trades. Prices are volatile. Market resolutions may not match your expectations. Past performance does not predict future results.

We do not provide investment advice. Information shown on the Service (prices, volumes, market descriptions) is sourced from third-party APIs and may contain errors, delays, or omissions. You are responsible for verifying all information before placing trades.

6. Fees

We may charge a fee on trades placed through the Service. This fee is disclosed before trade execution and is included in the displayed trade price. Fees are non-refundable, including in the case of unfavourable market resolution or user error.

Polygon network gas fees apply to all on-chain transactions. These are paid directly to network validators and are not collected by us.

7. Service Availability

We do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, technical issues, third-party outages (including but not limited to Polymarket, Polygon, Privy, or our cloud provider), or other circumstances beyond our control.

We reserve the right to modify, suspend, or terminate the Service (in whole or in part) at any time without notice.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose;
• Engage in market manipulation, wash trading, or coordinated trading;
• Attempt to gain unauthorised access to our systems or other users' accounts;
• Use bots, scrapers, or other automated tools to access the Service in a manner that disrupts service or extracts data at scale;
• Misrepresent your identity, location, or eligibility;
• Use the Service for money laundering, terrorism financing, or sanctions evasion;
• Reverse-engineer, decompile, or attempt to extract source code from the Service.

9. Intellectual Property

The Service, including all designs, code, content, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

We are not a financial advisor, broker, dealer, exchange, money services business, or financial institution. The Service is a technology interface only.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) GBP £100 or (b) the total fees you have paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in London, England, under the London Court of International Arbitration (LCIA) rules, except where prohibited by your local consumer protection laws.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be posted on the Service with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance.
